JRA Business Terms
Effective November 2, 2026
These Business Terms apply, with the JRA Terms of Use and the business’s order form, to any business (“Client”) that uses JRA under a trade account. If they conflict, the order form controls first, then these Business Terms, then the JRA Terms of Use.
1. Plans, quotas and billing.
- The order form sets the plan, the report quota, the overage price, the billing period and the term.
- Fees are invoiced through our payment processor. They are non-refundable except as the order form or the law provides.
- Paid plans renew for the same term unless either party gives notice of non-renewal at least 30 days before the renewal date, unless the order form says otherwise.
2. Roles.
- For reports a Client’s customers create through the Client’s JRA links, Rodor processes the customer information on the Client’s behalf to provide the Service to the Client.
- Separately, Rodor uses that information to train and improve its own base models, under section 5. For that purpose Rodor acts on its own behalf and is responsible for its own legal obligations, including notices and individual rights requests.
- The Client is responsible for its own relationship with its customers.
- Where the law requires a data-processing agreement, the parties will sign Rodor’s data-processing schedule, which sets out purposes, instructions, rights requests, subprocessors, deletion, security and permitted training. If it conflicts with these terms, the schedule controls.
3. Client responsibilities. The Client will: (a) give its customers any notice, and obtain any consent, that the law requires before sending JRA links or using their information, including notice that Rodor uses submitted photos and reports to train JRA’s models; (b) comply with the laws that apply to its use of JRA results, including consumer-protection, secondhand-dealer, anti-money-laundering, insurance and automated-decision laws; (c) not present JRA output as an appraisal, certification or guarantee; (d) not represent that JRA set or approved any offer the Client makes.
4. Confidentiality. Each party will protect the other’s non-public business information with reasonable care and use it only to perform under these terms. Rodor’s use of Client Data for model training under section 5 is permitted, and it does not disclose Client Data that identifies the Client or its customers.
5. Data use and training.
- Client Data (photos, information and reports that the Client and its customers submit) may be used by Rodor to provide the Service and to train and improve Rodor’s base models.
- Rodor will not disclose Client Data that identifies the Client or its customers to any other client.
- If the Client buys a customized version, its Client Data may also train that version.
- Rodor owns all models and improvements.
- The Client confirms it has the rights and has given the notices needed for this use.
6. Separation. Each Client’s data and dashboard are logically separated from other clients’ data. Customized versions are used only for the Client that bought them.
7. Subprocessors.
- Rodor uses service providers for hosting, storage, email, security and payments, under written contracts that require confidentiality and security.
- Client Data (photos and reports) is hosted and processed on servers in the United States. Some providers (for example sign-in, payment and email) may process limited account information elsewhere under their own terms.
- A current list is available on request.
8. Security incidents. Rodor will notify the Client without undue delay, and in any event within 72 hours, after confirming a security incident that affects Client Data (or within any shorter period the law or the order form requires). Rodor will provide preliminary information as it becomes available, and will cooperate in any notices the law requires.
9. Export and deletion.
- During the term, and for 30 days after it ends, the Client may export its reports.
- After that, Rodor keeps Client Data for up to 7 years from its creation for records, security, legal and model-training purposes, then deletes or de-identifies it. Rodor will delete identifiable customer information sooner where the law requires.
10. Estimates. JRA output is an estimate, not an appraisal. Rodor gives no warranty that estimates will match appraisals or transaction prices.
11. Indemnities.
- The Client will defend and indemnify Rodor against third-party claims arising from the Client’s failure to give the notices or obtain the consents required under section 3, or from the Client’s misuse of JRA output.
- Rodor will defend and indemnify the Client against third-party claims that JRA, as provided by Rodor, infringes a U.S. patent, copyright or trademark.
11A. Liability.
- Except for breach of section 4 (confidentiality), the indemnities in section 11, or a party’s gross negligence or willful misconduct, each party’s total liability is limited to the fees paid in the 12 months before the claim.
- Neither party is liable for indirect or consequential damages, to the extent the law permits.
- The order form may set different limits.
12. Law and venue. New York law. Venue is the state courts in New York County, New York, or the federal court for the Southern District of New York where it has jurisdiction, unless the order form says otherwise.
